The Contractor is entitled to appoint a qualified substitute to perform the services. The Client will be informed in a timely manner, but prior approval is not required. The Contractor remains responsible for the quality of the agreed deliverables.

Liability cap (12 months)

Limits financial exposure and excludes unlimited liability.

The Contractor's aggregate liability under this agreement is limited to the total fees paid in the 12 months preceding the event giving rise to the claim. This limitation does not apply in cases of fraud or wilful misconduct.

Payment within 30 days

Protects cashflow with clear terms and late-payment interest.

Invoices are payable within 30 calendar days of invoice date. Late payment automatically triggers statutory commercial interest. Work already accepted remains payable, including upon termination of this agreement.

Balanced termination

Reciprocal notice period and compensation for work in progress.

TerminationπŸ‡³πŸ‡± NLπŸ‡§πŸ‡ͺ BE
Either party may terminate this agreement with 30 days' notice. The Client shall pay for all services performed up to the termination date in accordance with this agreement, including reasonable costs for demonstrable work in progress.

IP limited to deliverables

Prevents transfer of pre-existing tools, methods, and know-how.

IP scopeπŸ‡³πŸ‡± NLπŸ‡§πŸ‡ͺ BE
Intellectual property rights in specifically agreed deliverables transfer to the Client upon full payment. All pre-existing materials, tools, templates, methodologies, and general know-how of the Contractor remain the Contractor's property.

Narrow non-compete

Limits duration, scope, and geography while allowing other client work.

Non-competeπŸ‡³πŸ‡± NLπŸ‡§πŸ‡ͺ BE
Any non-compete obligations are limited to directly competing services for directly competing clients, for a maximum period of 6 months after termination, and only within the agreed market region. The Contractor remains free to work for other clients.
